Terms of Service

1. Acceptance

By accessing contexer.ai (the "Site"), signing up for Contexer Cloud, or using any Contexer service, you agree to these Terms. If you do not agree, do not use the Site or services.

2. The service

Contexer is an engineering decision layer for AI coding agents. The Site and related services include:

• Open Source — the free, self-hosted Contexer software distributed under its open-source license on GitHub.
• Personal Cloud — a free Contexer Cloud account that stores your decisions, syncs across machines, and provides a web dashboard.
• Teams — a paid subscription that adds shared team decisions, a team MCP endpoint, role-based approvals, and AI-generated canonical suggestions.
• Organization — a custom plan for enterprises, including cross-team sharing, enforcement policies, CI/CD drift detection, SSO, and an audit trail.

The Contexer open-source software is governed by its own license; these Terms apply to the Site and Contexer Cloud services.

3. Paid subscriptions and billing

Some Contexer Cloud plans are paid subscriptions. The Teams plan is currently free during early access; pricing will be announced once our IP process is settled. When paid billing begins, the Teams plan will be billed at the price shown on the Site at the time of purchase, will start with a free trial unless otherwise stated, and will renew automatically each month until cancelled. Organization plans are priced separately under a custom agreement.

You must provide accurate billing information and keep it current. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months unless required by law. We may change pricing with reasonable advance notice; price changes apply to your next billing period after the change takes effect.

4. Acceptable use

You agree not to: (a) submit false or third-party personal data to the waitlist or account forms; (b) attempt to disrupt, probe, or reverse-engineer the Site or Contexer Cloud; (c) use the Site or services to send spam or unlawful content; (d) share paid team seats outside your licensed team.

5. Intellectual property

The Site's content, branding, and design are © Contexer.ai. The Contexer software is licensed under its open-source license — see the LICENSE file in the GitHub repository.

6. Disclaimer

The Site and any pre-release software are provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.

7. Limitation of liability

To the fullest extent permitted by law, Contexer.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or Contexer Cloud services.

8. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above.
